Articles filed with the State, an attorney-reviewed operating agreement, New York’s six-week newspaper publication process, and your EIN—coordinated by a New York law firm, not a form mill. $1,250 for a single-owner LLC and $1,750 for a multi-owner LLC, plus state and newspaper costs at cost.
New York LLC formation
Why the details matter
Filing the Articles is only the first step. New York LLC members must adopt a written operating agreement, and an agreement may be entered into before, at the time of, or within 90 days after filing the Articles.1
New York also generally requires publication once a week for six successive weeks in two county-clerk-designated newspapers, followed by filing proof of publication with the Department of State. The statutory period is 120 days after the initial Articles become effective.2
We coordinate the formation tasks that do not end with a generic online form, while keeping the engagement scope and costs clear from the outset.
Manager-managed structures, investor terms, entity members, non-pro-rata economics, PLLCs, foreign qualification, property transfers, and other bespoke arrangements are quoted separately.
A clear process
Provide the owners, ownership split, county, mailing address, intended purpose, and contribution information.
After conflict review, you receive a defined flat-fee engagement letter. State and newspaper costs are itemized at cost.
Our target is to file Articles within two business days after a complete intake, signed engagement letter, and all required payment and filing information are received. Department of State acceptance timing is outside the firm’s control.
We coordinate the county-designated newspapers, collect publication affidavits, and file the Certificate of Publication.

Common questions
Once the firm has a complete intake, signed engagement letter, and the information and funds needed to proceed, our target is to file the Articles within two business days. Publication itself runs for six weeks; the Certificate of Publication is commonly filed after the newspapers provide affidavits and before the 120-day statutory period.
New York Limited Liability Company Law § 206 requires qualifying notices in two county-clerk-designated newspapers once a week for six successive weeks, followed by a Certificate of Publication with affidavits filed with the Department of State.2
New York law provides that LLC members shall adopt a written operating agreement. The agreement may be entered into before, at the time of, or within 90 days after filing the Articles of Organization.1 A written agreement may also be requested by banks, lenders, and other counterparties.
Potentially. A deed transfer, tax forms, recording, lender-consent issues, title coverage, and insurance questions require a separate review and written scope. We will flag the issues before any transfer is undertaken.
We use a secure client portal for formation information. Do not send Social Security numbers by email.
Information on this page is general. A lawyer-client relationship begins only after the firm completes conflict review and a written engagement letter is signed by the firm and client.
